Our corporate law attorneys represents clients in a wide range of real estate transactions that involve the acquisition, financing, development, construction, management, operation, leasing and sale of office, retail, industrial, health care, and residential properties. Many of these transactions are structured to maximize access to the debt and equity resources of the capital markets. A given transaction may involve a single property or may involve multiple properties located throughout the country.
Our real estate finance lawyers represent lenders, institutional lenders, other capital providers, and borrowers in connection with construction loans, bridge loans, term loans, permanent loans, revolving lines of credit, and other credit arrangements secured by real estate. Financings encompass whole loan originations, structured finance, CMBS, mezzanine debt, loan participations, and preferred equity. We are equally adept at assisting borrowers, thereby giving us the experience to understand and navigate complexities inherent in both sides of a deal.
Examples of our specific areas of experience include the following:
- Counseling developers, REITs, and other institutional landowners through acquisitions and sales, construction and permanent financing, joint ventures, leasing, syndication and sale-leaseback transactions, as well as development, construction, and real estate management.
- Drafting and negotiating agreements for the acquisition and disposition of operating assets for different-sized properties and projects, including development agreements, construction contracts, architecture agreements, leasing agreements, and management agreements on behalf of users and providers of those services.
- Representing clients with all aspects of retail leasing for both the landlord and the retail tenant. Landlords range from regional shopping malls to smaller neighborhood centers. Tenants include national retailers and local entrepreneurs.
- Developing and implementing complex ownership structures that enhance the value of real estate, in particular in the context of merger and acquisition transactions, including creating joint ventures and preparing related development, management, and leasing agreements.
- Converting apartment developments to condominiums and cooperatives, many of which involve mixed uses.
- Developing, constructing, acquiring, selling, financing, and leasing urban and suburban office, residential, retail, mixed use, and industrial buildings.
- Formulating deeds of trust, mortgages, and other security devices and negotiating bond enhancements and letters of credit for lenders.
- Determining and obtaining financing for all real estate assets, including leveraged leases and other innovative structured finance techniques.
